Terms of Service

These terms are an agreement between you and Hugo Molaudzi, a sole proprietor in South Africa trading as Koutei Systems ("we", "us"), for your use of Koutei PDF at kouteisystems.com ("the Service"). By creating an account or using the Service, you agree to them. If you don't agree, please don't use the Service.

They include our Acceptable Use Policy and Refund Policy. Our Privacy Policy explains how we handle personal information. If you use the Service for a business, you accept these terms on its behalf and confirm you may do so.

Koutei PDF turns the details you enter into ready-made templates into PDF documents and images, through our website. The Service runs on credits. A public REST API is planned but not yet available.

If you use our free invoice generator without an account, it uses no credits. It allows up to 5 invoices an hour and 20 a day from each network, and we may change or withdraw it at any time. These terms and the Acceptable Use Policy apply to it too.

We keep improving the Service, so features, templates and plans may change. We don't promise that the Service will always be available or free of errors, but we work to keep it running and to fix problems quickly.

• You must be at least 18 years old.
• Give us an email address you can receive mail at, and keep your sign-in details secure.
• Don't share your account or API keys with anyone you haven't authorised.
• You are responsible for what happens under your account.
• Tell us straight away at support@kouteisystems.com if you think someone else has access.

• Each PDF or image you generate in your account uses one credit. We only take a credit when a document is generated successfully.
• Each plan comes with a credit allowance, shown on our pricing page.
• Credits are an allowance, not money. They have no cash value, can't be transferred or sold, and unused credits don't roll over.
• When a paid plan ends, it stops renewing your credits and your account continues on the Free plan.
• We may change plans, allowances or prices. We will give you notice before a change affects a subscription you have already paid for. For a price change, we will tell you at least 30 days before it applies to your subscription, and the new price applies from your first renewal after that notice.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle answers questions about your order, payment, invoices and refunds. For help using Koutei PDF itself, email us at support@kouteisystems.com.

When you buy a plan, you buy it from Paddle.com Market Limited, and Paddle's buyer terms apply to the purchase. Paddle calculates and collects any sales tax or VAT that applies. Depending on where you are, tax may be added to the price shown on our pricing page; checkout shows the final amount before you pay.

Paid plans renew automatically at the end of each billing period until you cancel. You can cancel at any time in Settings: your plan stays active until the end of the period you have paid for and then does not renew.

If you start a paid plan and change your mind, you can ask for a full refund within 14 days of your first payment. Paddle issues refunds. Our Refund Policy explains this and the other cases we refund.

You own what you put into the Service and the documents you create with it. You give us permission to process that content only to generate your documents and run the Service. We don't store your documents or what you type into them, so keep your own copies; we can't recover a document later.

You are responsible for:

• having the right to use everything you include, such as logos, other people's names and contact details, and any other personal information; and
• checking that your documents are accurate and meet the rules that apply to you before you use them.

We don't give tax, legal or accounting advice. Our templates are general and may not meet every country's requirements (for example, the rules for VAT invoices).

You must follow our Acceptable Use Policy. In particular, you must not use the Service to create fake or misleading documents, such as invoices or receipts for sales that didn't happen, or to break the law.

A public API is not yet available. You can already create an API key in Settings. The API will use these keys when it launches, and it may come with additional terms that we will publish first.

You are responsible for all usage associated with your API keys.

If you think a key has been exposed, regenerate it in Settings straight away.

The Service, including its software, design and templates, belongs to Koutei Systems. You may use our templates to create documents for yourself or your business. You may not copy, resell or rebuild the Service or its templates as a competing product. Fonts embedded in your documents are used under their own open licences, which allow this.

If you send us feedback or ideas, we may use them without owing you anything.

You can stop using the Service at any time and delete your account in Settings. Deleting your account does not cancel a paid subscription, so cancel it in Settings first.

We may suspend or close your account if you break these terms or the Acceptable Use Policy, if the law requires it, or to protect the Service or other people. Where it is reasonable, we will tell you first and give you a chance to fix the problem.

If we ever close the Service, we will give you at least 30 days' notice where we can, and arrange a refund for any prepaid period you can no longer use.

To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, including that it will meet your particular needs or that documents will meet the legal requirements that apply to you.

To the extent the law allows, Koutei Systems is not liable for indirect, incidental or consequential loss, or for lost profits, revenue or data, arising from your use of or inability to use the Service. Our total liability for any claim is limited to the greater of the amount you paid for the Service in the 12 months before the claim or USD 100.

Nothing in these terms limits liability that cannot be limited by law, or takes away rights you have as a consumer that cannot be waived.

To the extent the law allows, you agree to cover Koutei Systems's reasonable losses and legal costs from claims by others that arise from content you put into the Service, documents you create with it, or your breach of these terms.

We may update these terms. We will tell you about a material change at least 14 days before it takes effect, by email or with a notice on the site, and change the date at the top. A price change for a subscription you already have gets 30 days' notice (section 4). If you keep using the Service after a change takes effect, the new terms apply. If you don't agree, stop using the Service and cancel any subscription.

These terms are governed by the laws of the Republic of South Africa, and the courts of South Africa have jurisdiction over disputes. If you are a consumer living in another country, you also keep the protection of the mandatory laws of that country and may bring proceedings in your local courts.

If part of these terms can't be enforced, the rest still applies. If we don't enforce a right straight away, we haven't given it up. We may transfer this agreement to a business that takes over the Service; you may not transfer it without our agreement.
